1.Who we are and who these terms cover

Scale Modern Business Solutions LLC ("Scale", "we", "us") makes Scale Suite. Our address is 2415 San Ramon Valley Blvd, Suite 4, San Ramon, CA 94583. These terms are a contract between Scale and the business that signs up ("you"). They cover Scale Suite, its apps, the Scale Suite AI assistant ("AI"), Scale Suite Pay, Market, Domains and Scale Suite Mail (together, the "service").

These terms take effect on October 24, 2026. They apply to every account that signs up or keeps using the service on or after that date.

If you accept for a business, you confirm that you are allowed to bind it. Scale Suite is for business use only. By signing up, you confirm that you are using it for a business, and not for personal, family or household purposes.

These terms include the Privacy policy, the Data processing addendum for personal information you put into Scale, the Official raffle rules when you run or enter a raffle in Market, the policies on Legal and policies that say they are part of these terms (the Acceptable use policy, Pay terms, Market terms, AI policy, Cancellation and refund policy, Mail, messaging and calls policy, Electronic signatures and records, Domains terms and Apple Wallet passes terms), and the partner terms named below.

2.Your account

You must be 18 or older and able to make a contract for your business. Scale Suite is for business use, not personal or household use. When you sign up or reserve, you confirm both with two separate checkboxes, one for your age and one for business use. We keep a record of those confirmations (each answer, when you gave it, and the wording version) and never ask for your date of birth.

Give us accurate information and keep it up to date.

Keep your sign in safe. We recommend passkeys. If you use a password, make it long and use it only for Scale Suite. You are responsible for what happens under your account, for the people you invite to your team, and for the access you give them.

Tell us right away in Help and support if you think someone got into your account.

3.Free trial, automatic renewal and cancelling

Paid plans are subscriptions that renew automatically every month until you cancel. Before you confirm, we show the plan, the monthly price after any discount, the date of the first charge, and how to cancel. You agree to automatic renewal with its own checkbox, separate from these terms, and we email you a confirmation you can keep. The Cancellation and refund policy has the details.

Free trial: a new business gets a 30 day free trial. We ask for a card to start it, and nothing is charged during the trial. We email you 3 days before the trial ends. If you do not cancel before it ends, your card is charged the monthly price you were shown, and then again every month until you cancel.

Cancel any time online in Settings, Plan and billing, Cancel plan. No call or email is needed. Cancelling stops future charges. You keep access until the end of the period you already paid for, or the end of your free trial, and we confirm the cancellation in the app and by email.

Charges already made are not refunded, including for part of a month, unless the law requires a refund. Upgrades start right away and are prorated for the rest of the month. On a downgrade, the unused amount becomes a credit on your next bill.

If the price of your plan changes, we tell you at least 7 days and no more than 30 days before the new price applies, with how to cancel. We also send a yearly reminder of your plan, what it costs and how to cancel.

If a payment fails, we retry in 3 days and email you. Your apps keep working for 14 days after the payment was due. After that, we may pause paid features until the bill is paid.

Prices do not include taxes. Where the law requires it, we add sales tax or similar taxes to your bill.

In the preview of Scale Suite, payments, cards, bank connections, pockets and money movement are simulated. No card is charged and no money moves.

4.Founders pricing

Reserving founders pricing is free. You give us your contact details. No card is needed, and nothing is charged. Reserving is not a subscription and never renews. You can cancel a reservation online any time, with the link shown after you send it or in Settings, Plan and billing, with no call needed.

Reservations are open now. The service goes live on January 1, 2027.

Founders pricing applies if you reserved and you start a paid plan between January 1, 2027 and January 31, 2027. Starting a plan with a card on file, including a plan that begins with the 30 day free trial, counts as starting a paid plan. If you reserved but do not start a plan by January 31, 2027, the offer ends. If you bought a founding member year (section 4A), founders pricing applies to the plan you start when that year ends.

Once you have it, you get 20% off the list price on each Scale bill, for your plan, extra users and Pro seats, while your account stays open and paid.

It stays when you change plans or add people, and it carries over to businesses you add to the same account.

It ends if you close your account, or if a payment is still unpaid after the 14 day grace period. Once it ends, it does not come back.

List prices are shown before you confirm a plan. The Company plan is Suite for 40 people, including 5 Pro seats, at $899 a month list price, which is $719.20 a month with founders pricing.

Founders pricing is a discount on the list price, not a price freeze. It does not apply to Scale Suite Pay pricing, Market or template fees, or domains.

If another company acquires Scale or the service, founders pricing continues under these terms.

4A.Founding member year

A founding member year is a one time payment for the first 12 months of one plan. Today it is offered for Team, for up to 5 users, at $699 for 12 months. [Founding year prices for Suite for 1 user and Pro for 1 user: not set, and not offered until they are] It is billed once and is not a subscription.

Your 12 months start on the day you activate your Scale Suite account, on or after January 1, 2027. We email you the sign in steps when the service goes live.

Refunds: you can ask for a full refund for any reason before the service goes live, and for 30 days after you activate your account. If the service does not go live by March 31, 2027, we refund you in full unless you tell us you want to keep waiting. Cancel online any time with the cancel link shown after you pay, or in Settings, Plan and billing, with no call or email needed. Before go live, and for 30 days after you activate, cancelling refunds you in full.

Before you pay, we show the price, the plan, the start date, these refund terms and that it does not renew, and you agree with a checkbox. No automatic renewal: we do not charge you again when the 12 months end. About 30 days before your year ends, we remind you and ask whether you want to continue. If you then start a plan, it is a monthly plan with founders pricing (for Team, $95.20 a month) that renews every month until you cancel, and you agree to that separately at that time.

Adding people or moving to a bigger plan during the founding year is billed separately at that time, with founders pricing applied.

5.Payments, Scale Suite Pay and bank connections

Scale is not a bank and does not hold your money. Pockets and set aside amounts in Money and Books are labels to plan your money inside Scale. They are not separate bank accounts, and money in them is not insured by Scale.

Payment processing services for businesses on Scale Suite are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (together, the "Stripe Services Agreement"). By agreeing to these terms or continuing to use Scale Suite Pay, you agree to be bound by the Stripe Services Agreement, as Stripe may change it from time to time. As a condition of Scale enabling payment processing through Stripe, you agree to give Scale accurate and complete information about you and your business, and you allow Scale to share it and transaction information related to your use of Scale Suite Pay with Stripe.

Stripe, not Scale, verifies your business and collects your tax ID and payout bank details. Payments you take through Scale Suite Pay go to your own Stripe account and are paid out on Stripe's schedule.

When you connect a bank in Money, Scale uses Plaid Inc. ("Plaid") to get your account and transaction information from your bank, read only. You sign in on your bank or Plaid screen, and Scale never sees your bank login. By connecting, you allow Scale and Plaid to access and send that information from your bank on your behalf, and you agree that Plaid handles your information under the Plaid End User Privacy Policy. You can disconnect any time in Money.

Scale Suite Pay pricing: one price for every payment through Scale Suite Pay, including invoices, deposits, bookings and Market sales. It is 5% of each payment, with a $1.50 minimum. For a card issued outside the US, Stripe's 1.5% international card fee is passed through at cost on top of the price, and when Stripe converts a payment from another currency, its 1% conversion fee is passed through the same way. For example, a $1,000 payment on a card issued outside the US costs $65, or $75 if the currency is converted. Bank transfers (ACH) are 5% with the same minimum, capped at $50 per payment, for payments up to $5,000, and 1% of the whole payment for each payment over $5,000. Card processing fees are included. Stripe takes its fee from the payment, and Scale takes the rest of the price as its platform fee, so the total you pay is the price above. Because of the $1.50 minimum, a payment of $1.50 or less is all fee, and your business receives nothing from it. When a customer verifies a bank account instantly, Stripe bills your business its own verification fee, currently $1.50 each, outside this price [confirm]. The Pay terms have the details and examples.

When you refund a payment, the Scale Suite Pay fee is not returned. If a buyer disputes a payment, Stripe bills its dispute fee, currently $15, to your business's own Stripe account under the Stripe terms, and the Scale Suite Pay fee is not returned. Your business is responsible for refunds, disputes, chargebacks, fees and negative balances on its Stripe account. While the balance is negative, payouts pause, new payments cover it first, Stripe may debit the bank account you use for payouts, and your Market listings and any instant payouts pause. Stripe, not Scale, carries any amount that is never paid back, which does not reduce what your business owes.

We tell you at least 30 days before a Scale Suite Pay price goes up.

Instant payouts are not offered yet. If we offer them, each instant payout costs your business 1.5% of the amount paid out, shown before you confirm it.

Scale Protect, Show Terms and early payout are not offered yet. Where they appear in the preview, they are simulated: no money is held, lent or paid out early. If we offer them later, they will come with their own terms first.

6.Market, the business marketplace

Market lets businesses list services and templates, post needs, bid and buy from each other. Each deal is between the businesses involved. Scale is not a party to it, does not do the work, and does not guarantee any business, listing or result.

Fees are shown before you list or pay. Market sales paid through Scale Suite Pay cost the Scale Suite Pay price above. There are no buyer fees and no listing fees. Optional exhibitor plans, add ons and sponsorships are priced in Market before you buy them, and every paid placement is labeled Sponsored. Bids on the Needs board use bid credits, priced in Market before you buy them.

Before a business can sell, Stripe verifies it through Pay, and Scale collects and verifies the seller details the INFORM Consumers Act requires. Anyone can report a listing, and we review reports and take down listings that break the rules.

On template sales, Scale keeps 15% of each sale, which includes payment processing. Founding creators pay 10% for their first year after they join.

Badges (Top rated, Reviewed and New on Scale) come only from Scale records of paid jobs and time on Scale. A badge means only what its sheet in Market says Scale checked, and when. Paying for a check never guarantees a pass. A badge is not a guarantee of any business or its work, and badges never change where a business shows up.

Listings must be true. A "was" price must be the real price you charged for the 30 days before the show.

Reviews must come from real jobs. Do not pay or reward anyone for a review, do not post fake reviews, and ask every client for a review, not only happy ones.

The Market terms have the full rules for sellers, buyers, badges, reviews and takedowns.

7.Raffles in Market

A booth can run a free raffle in Market. Every raffle has its own Official raffle rules. The booth is the sponsor and delivers the prize. Scale administers the drawing.

If you run a raffle, you agree to: use Scale's rules as they are, with only the fields Scale lets you fill; offer one prize that you actually sell, worth $500 or less; never offer cash, gift cards, alcohol, tobacco or vape products, cannabis, firearms, prescription drugs, or regulated services like loans, escrow, title, insurance, real estate, legal or medical services; deliver the prize within 30 days; give no extra entries for buying, following, sharing or reviewing; and say nothing about odds or entrant numbers outside the rules.

You use winner details only to deliver the prize, and entrant details only as each entrant agreed. You collect any tax forms and issue any tax filings your prize needs. You and your staff and households may not enter your own raffle.

Scale may pause, cancel or remove a raffle, pick alternate winners, void entries, and turn off raffles for a booth that does not deliver.

8.AI features and the AI assistant

AI drafts messages, sorts information, suggests actions and, only if you turn it on, acts for you. AI can be wrong or incomplete. Review what it writes before it goes out.

Out of the box, AI only drafts. Every rule that lets it act on its own is off until you turn it on, in Settings, AI. You also choose which apps it may read. Anything that moves money needs your OK and a limit you set.

You are responsible for messages and actions you approve or allow, as if you did them yourself. AI does not give legal, tax, financial or medical advice. Generated text and images are provided as is, so check them before you publish.

As between you and Scale, you own what AI makes for you, to the extent the law allows. Others may get similar results, and AI output may not be protected by copyright.

We never use your business content to train or improve AI unless the account owner or an admin turns on AI improvement in Settings, AI. It is off by default, is explained before you choose, can be turned off at any time, and each choice is recorded with the date and the policy version. Today Scale does not train or tune any AI model. Our AI providers may not train their models on your content either. AI output is labeled "AI-generated". Before AI sends, spends, shares, deletes or signs anything, it shows an approval card with the exact action, and nothing happens until you approve it. The AI policy has the details.

10.Your data and AI memory

Your business content is yours. You give Scale permission to host, copy, process, send and display it only to run, secure and support the service for you, including through our service providers, and as these terms or the law require.

AI keeps short notes about your work so it can help. You can see, edit, export and delete them in Settings, AI, Memory. Today the notes are stored encrypted on your device, with a key your browser keeps and will not export. This protects the notes on that device. It is not end to end encryption.

You can export your data at any time. When you close your account or delete a business, you can restore it for 30 days, and then we delete it as described in the Privacy policy and on the Data retention page.

You are responsible for having the right to put information about other people into Scale, like your clients, and for your own privacy notices to them. When we handle that information for you, we act as your service provider. We use it only to provide the service to you, under your instructions, and we never sell it. The Data processing addendum sets out these commitments in full, and the Subprocessors list names the service providers we use.

If you send us ideas or feedback, we may use them without owing you anything.

11.Our service

Scale owns Scale Suite, its software, designs and brand. We give you a limited, non exclusive right to use the service for your business under these terms. Do not copy, resell, rent, reverse engineer or try to get the source code of the service, or use our names and logos without our OK.

We keep improving the service, so features may change. If we remove a feature that is a main part of your plan, we tell you ahead of time.

13.Domains and Scale Suite Mail

Scale is a reseller. Domains you buy in Scale are registered in your business name by our registrar partner, [today the plan is Tucows Domains Inc., through its OpenSRS service], under the Domains terms. You also agree to the registrar's registration agreement, which for Tucows is the Tucows domain registration agreement. The domain is yours.

Domains renew yearly unless you turn renewal off. Expiration notices are sent by email 30 days and 5 days before a domain expires, and 3 days after it expires. Domain fees are not refundable once a registration or renewal is submitted. Keep the contact details on your domain accurate. Registry rules apply.

Scale Suite Mail mailboxes are hosted by our email partner, Tucows, in Canada. You agree to the Tucows email acceptable use policy and to these terms, which give Tucows the protections in its form of email end user agreement. No spam, no bulk or marketing mail from mailboxes, no forged headers, no open relays, and no viruses or harmful code. Mailboxes have sending and size limits, and suspected spam may be filtered or quarantined. The Mail, messaging and calls policy applies to all mail.

Neither Scale nor its email partner is responsible for email that is late, lost, misdelivered, deleted or not stored. Keep your own copies of anything important.

We or our email partner may suspend a mailbox that breaks these rules, after notice when we can. Scale and its email partner may preserve and disclose email when the law requires it, to enforce these terms, or to protect people, the service or its users.

For Scale Suite Mail, the email partner's liability to you is limited to the Scale Suite Mail fees you paid for the month in which the problem happened, and any claim about Scale Suite Mail must be brought within one year after it arises.

14.Apple Wallet cards

Punch cards, tickets and member cards made in Scale are passes that Scale issues for your business through Apple Wallet. Scale is shown as the issuer of the pass, and your business is named on it.

Apple may review, limit or remove passes at any time, and we cannot promise a pass stays in Wallet. Pass updates are only about the pass itself, never ads.

You decide the rewards and must honor them. Rewards are free, have no cash value and are not gift cards. If a reward expires, the expiration must be shown on the front of the pass. The Apple Wallet passes terms have the rest.

14A.Sign and electronic signatures

Sign lets you send documents for electronic signature. Signers confirm their email, agree to sign electronically, and get a copy with its audit trail. You decide whether an electronic signature fits each document. Do not use Sign for documents the law excludes, like wills, family law and court documents, and default, foreclosure or eviction notices on a primary home. The Electronic signatures and records page has the consent signers give and the full list.

15.Acceptable use

Do not use Scale to break the law, send spam, harass people, collect data you have no right to, impersonate anyone, sell illegal goods or services, infringe the rights of others, or attack, probe or overload our systems.

Follow the rules that apply to your business, like licensing, advertising and privacy rules.

Do not let AI alone decide on hiring, credit, housing, insurance or health matters. A person must review those decisions.

The Acceptable use policy has the full rules and how to report abuse.

Do not store protected health information (as defined under HIPAA) in Scale Suite. Scale is not a HIPAA business associate and does not sign business associate agreements.

We can suspend accounts or features that put other people, our partners or the service at risk. We tell you why when we can.

17.Ending your account

You can close your account at any time. Export your data first. We may suspend or close accounts that break these terms or do not pay, after notice when possible. After an account closes, or after a cancelled plan's paid period ends, you have 30 days to restore or export it, and then a scheduled job deletes your data as described in the Privacy policy. Consent, billing and support records are kept for at least 3 years.

If we stop offering Scale Suite, we tell you at least 30 days ahead and refund any amount you prepaid for time after it ends.

18.Warranties and limits

We work hard to keep Scale running and accurate, but the service, AI and third party services are provided as is and as available. To the extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non infringement. We do not promise that the service will be uninterrupted or error free, or that AI output will be accurate. We do not promise any uptime or response time today, as Support and service levels explains.

To the extent the law allows, our total liability for all claims about the service is limited to the greater of what you paid Scale in the 12 months before the event that led to the claim, or $100.

To the extent the law allows, we are not liable for indirect, special, incidental or consequential damages, or for lost profits, revenue or data, even if we were told they were possible.

These limits do not apply to fraud, willful misconduct, gross negligence, violations of law, or anything else the law does not allow us to limit.

These disclaimers and limits also protect our service providers, such as our hosting, email, domain, payments and AI partners.

19.Indemnity

You will defend Scale and its service providers against, and pay for, claims that come from your content, messages you send or allow, your deals with other businesses, your raffles, or your breaking these terms or the law. We tell you about the claim, let you control the defense, and help where we reasonably can. You may not settle a claim in a way that admits fault for Scale without our OK.

20.Disputes

Talk to us first. Before either of us files a claim, the one with the claim sends a written notice to the other, to legal@scalembs.com for Scale or to your account email for you, describing the problem and what would fix it. We both try in good faith to resolve it for 30 days. Deadlines to file are paused during those 30 days.

These terms are governed by California law, without regard to its conflict of law rules.

Any claim must be brought in the state courts in Contra Costa County, California, or in the federal court for the Northern District of California, and we both agree to those courts. Either of us may instead bring a claim in small claims court if it qualifies.

Judicial reference: because these terms are between businesses, if a dispute is filed in a California state court, either of us may ask the court to refer the whole dispute to a referee, such as a retired judge, under California Code of Civil Procedure section 638. The referee decides all issues of fact and law, and the court enters judgment on the decision. We share the referee's fees equally unless the referee decides otherwise. This does not apply to small claims cases or to requests for urgent court orders.

There is no arbitration agreement and no class action waiver in these terms.

21.Changes to these terms

If we change these terms in a way that matters, we tell you at least 30 days ahead in the app and by email, and we update the date at the top. If you keep using the service after a change takes effect, the new terms apply. If you do not agree, you can cancel before then.

A change does not apply to a dispute we already know about.

22.Other terms

Scale Suite is offered to businesses in the United States. [Decision for Mike and Cameron: block sign ups from the European Union and the United Kingdom until GDPR and EU AI Act work is done.] Do not use Scale where U.S. export or sanctions laws forbid it.

We send notices to your account email. Send notices to us at legal@scalembs.com, or by mail to the address below.

If part of these terms cannot be enforced, the rest still applies. If we do not enforce a part right away, we can still enforce it later. We are not responsible for delays caused by events beyond our reasonable control, like outages of the internet or of our partners.

You may not transfer these terms without our OK. We may transfer them if Scale is sold, merged or reorganized, and founders pricing goes with them. You and Scale are independent businesses.

These terms, the Privacy policy, the Data processing addendum, the Official raffle rules where they apply, the policies on Legal and policies that say they are part of these terms, and the plan you chose are the whole agreement. Sections that by their nature should last after your account closes, like payment, indemnity, limits and disputes, still apply.

If anything in Scale is hard to use with your assistive technology, tell us in Help and support and we will help.
